Terms of Service

Effective September 16, 2026

Ledgeroto is currently in a closed beta. Access is by invitation only, the product is under active development, and these terms are intentionally brief. They will be replaced with a fuller agreement before general availability.

1. Acceptance of these terms

By accessing or using Ledgeroto (the "Service"), you agree to these Terms of Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and "you" refers to the business.

2. The Service

Ledgeroto is back-office operations software for physical-product businesses, covering purchasing, shipping, receiving, payables, and related financial workflows. During the beta, features may be added, changed, or removed at any time without notice.

3. Beta status

The Service is provided as a pre-release beta. You acknowledge that it may contain errors, may be unavailable at times, and that data stored in the Service may be modified or lost. You should retain independent copies of any records you rely on. We may suspend or end the beta program, or your access to it, at any time.

4. Accounts

You are responsible for the activity that occurs under your account and for keeping your sign-in credentials secure. You must provide accurate information when creating an account and keep it up to date.

5. Your data

You retain all rights to the business data you enter into or connect to the Service ("Customer Data"). You grant us the license needed to host, process, and display Customer Data in order to operate the Service. Our handling of personal information is described in the Privacy Policy.

6. Acceptable use

You agree not to:

7. Third-party services

The Service can connect to third-party services you authorize, such as Google (sign-in), Stripe (billing), QuickBooks, Xero, and Amazon. Your use of those services is governed by their own terms, and we are not responsible for them.

8. Feedback

Beta feedback is welcome. If you send us suggestions or ideas about the Service, we may use them without restriction or obligation to you.

9. Intellectual property

The Service, including its software, design, and branding, is owned by Ledgeroto. These terms do not grant you any rights in the Service other than the right to use it while you have access to the beta.

10. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Ledgeroto is an operations tool, not accounting, tax, or legal advice; you are responsible for verifying figures before relying on them.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the claim arose (or US $100 if you have paid nothing).

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time during the beta, with or without cause. On request, we will make reasonable efforts to provide an export of your Customer Data.

13. Governing law

These terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Any dispute relating to the Service will be resolved in the state or federal courts located in Tennessee, and you consent to their jurisdiction.

14. Changes to these terms

We may update these terms as the product evolves. If we make material changes, we will give notice through the Service or by email. Continued use after changes take effect means you accept the updated terms.

15. Contact

During the closed beta, questions about these terms can be raised directly with your Ledgeroto point of contact — the person who invited you to the beta.
